1. Acceptance of Terms
By registering, accessing, or using the Vendor Portal ("Portal"), the Vendor ("You") agree to comply with and be bound by these Terms & Conditions. If you do not agree, you must not access or use the Portal.
2. Purpose of the Portal
The Portal is provided to facilitate:
- Vendor registration and profile management
- Submission of quotations, bids, and proposals
- Purchase Order (PO) receipt and acknowledgment
- Invoice submission and tracking
- Procurement-related communication
Use of the Portal does not guarantee any business or contract award.
3. Vendor Eligibility & Registration
- Accurate and complete information must be provided
- The Company may approve, reject, or suspend vendors
- Login credentials must be kept confidential
4. User Responsibilities
- Use the Portal only for legitimate business purposes
- Submit lawful and truthful information
- Comply with all applicable regulations
- No manipulation or misuse of system data
5. Quotations, RFQs & Pricing
- All submitted quotations are binding
- Prices must include applicable taxes and duties
- The Company may accept or reject quotations
6. Purchase Orders
Purchase Orders issued through the Portal or official communication are legally valid. Vendors must acknowledge POs within the defined timeframe.
7. Delivery, Inspection & Acceptance
- Timely delivery as per PO terms
- Goods/services subject to inspection
- Rejected items must be replaced at Vendor’s cost
8. Invoicing & Payment
- Invoices must match PO and delivery documents
- Incorrect invoices may be rejected
- Payments processed as per agreed terms
9. Compliance & Legal Requirements
Vendors must comply with all applicable laws, anti-bribery regulations, HSE standards, and labor laws.
10. Confidentiality
All Portal-related information is confidential and must not be disclosed without written consent.
11. Intellectual Property
All Portal content and systems remain the property of the Company.
12. System Availability & Liability
The Company does not guarantee uninterrupted Portal access and is not liable for losses caused by technical issues.
13. Suspension & Termination
Portal access may be suspended or terminated due to violations, misconduct, or inactivity.
14. Amendments
The Company may update these Terms & Conditions at any time. Continued use implies acceptance.
15. Governing Law
These Terms & Conditions are governed by the laws of Kingdom of Saudi Arabia.
